These Terms and Conditions govern your access to and use of the websites operated by Electrium Solar LLC (“Electrium Solar,” “we,” “us,” or “our”), including electriumsolar.com and app.electriumsolar.com (the “Platform”). By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

These Terms apply to all visitors, prospective clients, current clients, and any other person who interacts with the Platform in any capacity.

01 —  ELIGIBILITY AND ACCESS

The Platform is intended for adults (18 years of age or older) located in Puerto Rico. By using the Platform, you represent that you meet this requirement.

Access to certain areas of the Platform — including the client portal at app.electriumsolar.com — is restricted to verified clients who have received credentials from Electrium Solar. Unauthorized access attempts are prohibited.

We reserve the right to suspend or terminate access to any user, at any time, for any reason, without notice.

02  —  CLIENT INTAKE FORM

The Platform may include a form for prospective clients to submit information for initial screening. Submission of this form does not constitute a contract, a service agreement, a commitment to provide services, or a guarantee of any kind.

All submissions are reviewed internally by our team. We contact applicants directly with next steps. We are not obligated to respond to every submission or to accept any particular prospective client.

By submitting the intake form, you consent to Electrium Solar collecting, storing, and using the information you provide for the purpose of evaluating your inquiry. See our Privacy Policy for details on how we handle personal data.

03  —  SCHEDULING

Call scheduling on the Platform is facilitated through a third-party scheduling service. By booking a call, you agree to that service’s own terms of service in addition to these Terms.

Scheduling a call does not create any obligation on the part of Electrium Solar to provide services or to enter into a contract with you. Calls are informational and exploratory in nature.

We reserve the right to reschedule or cancel appointments at our discretion.

04  —  PROPOSALS AND FINANCIAL PROJECTIONS

The Platform may be used to generate or deliver system proposals to prospective clients. These proposals contain financial projections, savings estimates, payback period estimates, and other forward-looking information.

All projections are estimates based on industry averages, assumed conditions, historical utility data, and information provided by you. They are provided for informational purposes only and are not guarantees of actual performance, savings, or return on investment.

Actual results will vary based on factors including but not limited to weather conditions, shading, utility rate changes, energy usage patterns, equipment performance, regulatory changes, and grid conditions.

No proposal constitutes a binding offer. Services commence only upon execution of a signed installation contract and receipt of a confirmed deposit.

05  —  PAYMENTS

Payments for services are processed through the client portal at app.electriumsolar.com via a third-party payment processor. By submitting payment, you also agree to that processor’s terms of service.

Electrium Solar does not store your full payment card details. All payment data is handled by our payment processor in accordance with their security and compliance standards.

Payment terms, deposit amounts, cancellation fees, and refund conditions are governed by your signed installation contract, not these Terms. In the event of any conflict between these Terms and your installation contract regarding payment, the installation contract controls.

06  —  ELECTRONIC SIGNATURES

Documents executed through the Platform are signed using a third-party electronic signature service. By signing any document on the Platform, you agree that your electronic signature is legally binding and carries the same force and effect as a handwritten signature.

You represent that you have the authority to sign on behalf of yourself or any entity you represent, and that your signature constitutes your full acceptance of the document being signed.

07  —  THE STEWARDSHIP CIRCLE — REFERRAL PROGRAM

Program Description

The Stewardship Circle is a client referral rewards program operated by Electrium Solar. Eligible clients who refer prospective clients to Electrium Solar may qualify for experiential rewards across a tiered structure. Program details, tier thresholds, and available rewards are communicated through the client portal and are subject to change.

Eligibility

Participation in the Stewardship Circle is limited to current Electrium Solar clients in good standing. Electrium Solar determines eligibility at its sole discretion.

Reward Conditions

–      Rewards have no cash value and cannot be redeemed for cash, transferred, sold, or exchanged.

–      Rewards are non-transferable and may only be redeemed by the eligible referring client.

–      Rewards are subject to availability and may be substituted with an alternative of equivalent or greater value at Electrium Solar’s discretion.

–      Redemption requests must be submitted through the designated form in the client portal. Submission confirms your interest; our team will contact you with next steps. Submission does not guarantee fulfillment.

–      Rewards are contingent on the referred client completing a signed installation contract and paying a confirmed deposit. A referral that does not result in a commissioned system does not qualify.

Program Modification and Termination

Electrium Solar reserves the right to modify, suspend, or discontinue the Stewardship Circle program at any time, for any reason, with or without notice. This includes the right to:

–      Change tier structures, thresholds, or reward offerings

–      Modify eligibility criteria

–      Place a cap on total program participation or total referrals per client

–      Discontinue the program entirely

In the event of program discontinuation, Electrium Solar has no obligation to fulfill pending or unconfirmed reward requests. Rewards already confirmed in writing by Electrium Solar will be honored subject to the conditions under which they were confirmed.

Participation in the Stewardship Circle does not create any vested right, contractual entitlement, or expectation of reward beyond what has been explicitly confirmed by Electrium Solar in writing.

Fraud and Abuse

Electrium Solar reserves the right to disqualify any referral and revoke any reward — including previously confirmed rewards — if it determines, at its sole discretion, that a referral was made in bad faith, through misrepresentation, or in violation of these Terms.

08  —  CLIENT PORTAL

Access to the client portal at app.electriumsolar.com is granted exclusively to clients with active installation contracts. The portal provides access to proposals, project tracking, system data, documents, and service request functionality.

You are responsible for maintaining the confidentiality of your portal credentials. You must notify us immediately at support@electriumsolar.com if you suspect unauthorized access to your account.

Portal access may be suspended or terminated upon contract completion, account inactivity, breach of these Terms, or at Electrium Solar’s discretion.

Interactions with our AI voice assistant, are recorded, transcribed, and processed to provide and improve client service. By initiating a call or chat, you consent to this recording and processing. If you do not wish to have your conversations recorded, please refrain from using this service. Our AI voice assistant may not be able to resolve every request and may escalate your inquiry to a member of our team.

09  —  INTELLECTUAL PROPERTY

All content on the Platform — including text, graphics, proposal formats, system design outputs, branding, and software — is the property of Electrium Solar LLC or its licensors. Nothing in these Terms grants you any right to use our intellectual property for any commercial purpose.

You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without prior written consent from Electrium Solar.

Proposals generated through the Platform are prepared specifically for the named recipient. They may not be shared with third parties, published, or used for any purpose other than evaluating a potential engagement with Electrium Solar.

10 —  THIRD-PARTY SERVICES

The Platform integrates with third-party service providers for scheduling, payment processing, electronic signatures, and client account management. Your use of these services is subject to their respective terms of service and privacy policies.

Electrium Solar is not responsible for the availability, accuracy, security, or conduct of any third-party service. We make no warranties regarding third-party platforms and will not be liable for any loss or damage arising from your use of them.

11  —  DISCLAIMER OF WARRANTIES

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Electrium Solar disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content on the Platform, including financial projections or system estimates.

12  —  LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Electrium Solar LLC, its members, officers, advisors, and staff will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or your reliance on any information provided through it.

13  —  INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Electrium Solar LLC and its members, officers, and staff from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law.

14  —  GOVERNING LAW AND JURISDICTION

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and applicable federal law, without regard to conflict of law principles.

Any dispute arising from or related to these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts of Puerto Rico.

15  —  CHANGES TO THESE TERMS

Electrium Solar reserves the right to update or modify these Terms at any time. When we do, we will update the Effective Date at the top of this document. Continued use of the Platform after any change constitutes your acceptance of the updated Terms.

For material changes, we may provide additional notice through the client portal or by email. It is your responsibility to review these Terms periodically.
